Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of https://systiqo.com and every page, feature and item of content made available through it (the "Website"), which is operated by SYSTIQO Tech Labs ("SYSTIQO", "we", "us" or "our"). Please read them before using the Website.

Acceptance of Terms

By accessing, browsing or otherwise using the Website, you confirm that you have read and understood these Terms and agree to be bound by them and by our Privacy Policy. If you do not agree, you should not access or use the Website.

You must be capable of entering into a legally binding contract under the Indian Contract Act, 1872 in order to use the Website. The Website is directed at organisations and business professionals and is not intended for children. If you access the Website on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms, and references to "you" mean both you and that organisation.

Under section 10A of the Information Technology Act, 2000, a contract is not unenforceable merely because it is formed through electronic means. Your acceptance of these Terms is given electronically and has the same effect as acceptance in writing.

These Terms govern your use of the Website only. They do not govern the professional services we provide, which are dealt with under Professional Services below. Where a signed agreement between you and SYSTIQO covers the same subject matter, that agreement prevails over these Terms in respect of that engagement.

About SYSTIQO

SYSTIQO is an applied AI and systems lab. We research, design, engineer and implement intelligent software systems for organisations solving complex business and technical problems, and we provide professional engineering and consulting services in connection with that work.

So that the basis on which the Website is offered is clear:

  • The Website is informational. It presents our capabilities, research, technical writing and service descriptions.
  • We are an engineering and consulting firm. We are not a software-as-a-service provider, a software marketplace, an AI platform, a freelancing or outsourcing marketplace, a job portal, a social network or a product company.
  • The Website does not offer user accounts, customer dashboards, paid memberships, subscriptions, online purchases, digital downloads, publicly available APIs or a software licensing portal.
  • The Website does not publish content submitted by visitors, and does not operate a community or discussion platform.

If we make an additional facility available through the Website in future — for example a careers application form or an email subscription — its use will be subject to these Terms and to any further terms published with it.

Website Use

The Website is provided for general information about SYSTIQO and our work. You may view and read it, share links to it, contact us through it, and use the information for your own lawful purposes, subject to Intellectual Property and Acceptable Use below.

Enquiries and submissions

  • You may use the contact facilities on the Website to send an enquiry, request a consultation or request a proposal.
  • Where a facility allows you to upload or attach a document, you are responsible for the material you send and confirm that you are entitled to share it with us.
  • Information you send is handled in accordance with our Privacy Policy. Sending an enquiry does not create a professional, contractual or confidential relationship — see Confidentiality below.
  • Please do not send confidential, proprietary or sensitive information through the Website before a written confidentiality arrangement is in place.

The Website does not provide advice, and nothing on it should be relied on as advice. In particular, Website content does not constitute:

  • Legal, regulatory or compliance advice.
  • Financial, investment, accounting or tax advice.
  • Engineering certification, security certification or compliance certification of any kind.
  • An audit, assurance opinion, penetration test result or attestation.
  • A recommendation to adopt any particular technology, architecture, vendor or approach.

You should obtain professional advice appropriate to your own circumstances before acting on anything you read here.

We prepare Website content with reasonable care, but it is general in nature, may be summarised or simplified, and may become out of date. We are under no obligation to update it. Research and technical material describes work at a point in time and is not a commitment to any roadmap, capability or outcome.

We may change, suspend, restrict or withdraw the Website or any part of it at any time, with or without notice. We do not undertake that the Website will be available at any particular time or from any particular location.

Intellectual Property

The Website and the material on it — including text, graphics, logos, branding, icons, design elements, layout, images, illustrations, documentation, the structure and arrangement of the site, and its source code where applicable — are owned by SYSTIQO Tech Labs or used under licence, and may be protected by copyright, trade mark, design and other intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

"SYSTIQO" and the SYSTIQO logo are used by us as trade marks. Nothing on the Website is a statement that any mark is registered, or a claim to any patent, registered design or other registered right. Nothing on the Website grants you a licence to use our name, logo or branding.

Except for the limited permissions set out under Acceptable Use below, no right or licence in the Website or its content is granted to you. All rights not expressly granted are reserved.

Third-party names, marks and logos appearing on the Website belong to their respective owners. Their appearance does not imply endorsement, partnership or affiliation unless we state so expressly.

If you send us unsolicited ideas, suggestions or feedback about the Website or our work, we may use them for any purpose without obligation to you. This does not apply to information exchanged under a signed confidentiality or engagement agreement, which is governed by that agreement.

If you believe material on the Website infringes your rights, please contact us at hello@systiqo.com with details and we will review the matter.

Acceptable Use

You may:

  • View and read the Website, and print or save individual pages for your own reference or internal business use.
  • Share links to pages on the Website.
  • Quote short extracts, provided the extract is accurate, is not misleading in context, and identifies SYSTIQO as the source.
  • Use information from the Website for any other lawful purpose that does not conflict with these Terms.

You must not:

  • Access, or attempt to access, any part of the Website, server or connected system that is not intended to be publicly available, or circumvent any access control or security measure.
  • Probe, scan or test the vulnerability of the Website or any connected system, other than through the responsible disclosure route described on our Security page.
  • Scrape, crawl, harvest, mine or otherwise extract content from the Website by automated means, other than by a search engine crawler that identifies itself and observes the directives published at /robots.txt.
  • Use the Website or its content to develop, train, fine-tune or evaluate any machine learning or artificial intelligence model, or to compile a dataset for that purpose, without our prior written consent.
  • Reverse engineer, decompile or disassemble any part of the Website, or attempt to derive its source code, except to the extent this restriction cannot lawfully be imposed.
  • Introduce any virus, worm, trojan, logic bomb or other malicious code, or otherwise interfere with the operation, integrity or security of the Website.
  • Place an unreasonable or disproportionate load on our infrastructure, or take any step designed to deny access to others.
  • Copy, reproduce, republish, mirror, frame or redistribute a substantial part of the Website, or present its content as your own.
  • Remove, obscure or alter any copyright, trade mark or other proprietary notice.
  • Misrepresent your identity, or represent that you are associated with, endorsed by or acting for SYSTIQO when you are not.
  • Use the Website to send unsolicited commercial communications, or to collect contact details for that purpose.
  • Submit material that is unlawful, defamatory, infringing, deceptive, or that you are not entitled to share.
  • Use the Website for any purpose that is unlawful or in breach of any applicable law or regulation.

Some of the conduct described above may give rise to civil liability under section 43 of the Information Technology Act, 2000, to criminal liability under sections 65 and 66 of that Act, or to liability under the Copyright Act, 1957 and other applicable laws. Where we reasonably believe these Terms have been breached, we may restrict or block access to the Website and take any other step available to us in law.

Professional Services

The Website describes what we do. It is an invitation to discuss an engagement, not an offer capable of acceptance. Nothing on the Website, and no reply to an enquiry, creates a binding commitment on either party to provide or to receive services.

We provide professional services only under a separate written agreement — for example a proposal accepted in writing, a master services agreement, a statement of work or an engagement letter — signed or otherwise expressly agreed by both parties.

That agreement, and not the Website, governs:

  • Scope of work and deliverables.
  • Fees, payment terms, taxes and expenses.
  • Timelines, milestones, acceptance and change control.
  • Ownership and licensing of intellectual property.
  • Confidentiality and data protection obligations.
  • Warranties, service levels, liability and indemnities.
  • Term, termination and dispute resolution.

Where that agreement conflicts with these Terms in respect of an engagement, that agreement prevails. No fee is payable for using the Website, and no services can be purchased through it.

Descriptions of past work, examples, sample outcomes or figures published on the Website reflect specific circumstances at a particular time. They are illustrative, and are not a representation, warranty or prediction that comparable results can be achieved in your circumstances.

AI-assisted work

  • We use artificial intelligence and AI-assisted tools in our research and engineering work. Where this is relevant to an engagement, the tools used and the boundaries on their use are agreed in the engagement agreement.
  • Our work is carried out with human involvement and review appropriate to the risk and purpose of the deliverable. We do not represent that any system we build or use operates autonomously or without human oversight.
  • AI systems have inherent limitations. Output can be incomplete, inaccurate, biased or unsuitable for a given purpose, and behaviour can change as underlying models change. We do not warrant the accuracy of AI-generated output.
  • Where third-party AI models or services are used, they are supplied by their providers on the providers' own terms, and their availability, behaviour and pricing are outside our control.
  • You remain responsible for reviewing, testing and validating deliverables before relying on them or putting them into production, and for any decision you take on the basis of them, unless the engagement agreement expressly provides otherwise.
  • Unless we state so expressly in writing, we make no claim that any system, model or deliverable meets a particular technical standard, regulatory requirement or certification.

Third-Party Links

The Website may contain links to third-party websites, resources, documentation or services. These are provided for convenience and information only.

We do not control third-party sites and do not review, endorse or accept responsibility for their content, accuracy, products, services, availability, security or privacy practices. A link is not a recommendation, and is not evidence of any association between us and the operator of the linked site.

Your use of a third-party site is at your own risk and is governed by that site's own terms and privacy policy, which you should read. We may add, change or remove links at any time.

You may link to the Website provided the link is fair, does not damage our reputation or take unfair advantage of it, and does not suggest an association, approval or endorsement that does not exist. We may ask you to remove a link, and you should do so promptly.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an "as is" and "as available" basis, without warranties, conditions or representations of any kind, whether express, implied or statutory.

In particular, we do not warrant that:

  • The Website will be available, uninterrupted, timely or secure, or that access to it will be free from error or delay.
  • Defects or errors will be identified or corrected.
  • The Website, or the servers that make it available, are free of viruses or other harmful components.
  • Content is accurate, complete, current or suitable for any particular purpose.
  • The Website or its content will meet your requirements or produce any particular result.

To the extent permitted by law, we exclude the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.

Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited, including any right you may have as a consumer under the Consumer Protection Act, 2019 or other applicable law. Where such a right applies, these Terms apply only so far as they are consistent with it.

Limitation of Liability

Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for wilful misconduct, for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be excluded or limited. The rest of this section applies subject to that.

To the maximum extent permitted by applicable law, SYSTIQO and its directors, officers, employees, contractors and agents will not be liable, whether in contract, tort (including negligence), under statute or otherwise, for any of the following arising out of or in connection with your access to or use of the Website, even if we had been advised of the possibility:

  • Indirect, incidental, special, consequential, exemplary or punitive loss or damage.
  • Loss of profit, revenue, business, contracts, opportunity, goodwill or anticipated savings.
  • Loss of, corruption of, or inability to access data.
  • Loss or damage arising from reliance on Website content, or from any decision taken on the basis of it.
  • Loss or damage arising from unavailability of the Website, from any interruption or error, or from any virus or other harmful material transmitted through it.
  • Loss or damage arising from a third-party website or service linked from the Website.

Our total aggregate liability arising out of or in connection with your access to or use of the Website, for all claims taken together, will not exceed INR 10,000 (Rupees ten thousand). This limit reflects that the Website is made available free of charge and for information only.

Liability in connection with professional services is governed exclusively by the agreement under which those services are provided. Nothing in these Terms increases, reduces or otherwise varies that liability.

You are responsible for your own protective measures — including anti-virus software and backups — appropriate to your use of the internet.

Confidentiality

Content published on the Website is public information and is not confidential.

Information you send us through the Website or by email before a written confidentiality arrangement is in place is not treated as confidential, and no obligation of confidence arises merely because you have sent it. Please do not send confidential, proprietary or price-sensitive information at that stage.

We will nonetheless handle enquiry information with reasonable care, use it only to respond to and evaluate your enquiry, and process personal data in accordance with our Privacy Policy.

Confidentiality in a business engagement is governed by a separate written agreement — a non-disclosure agreement, or the confidentiality provisions of the engagement agreement. Those agreements set out what is protected, for how long and on what terms, and they prevail over this section in respect of that engagement.

You must not send us information belonging to a third party, or information you are under an obligation to keep confidential, unless you are entitled to disclose it to us.

Privacy

Personal data collected through the Website is handled as described in our Privacy Policy at https://systiqo.com/legal/privacy, which forms part of these Terms and should be read alongside them. Our use of cookies is described in our Cookie Policy at https://systiqo.com/legal/cookies.

Where these Terms and the Privacy Policy differ on how personal data is handled, the Privacy Policy governs.

Where we process personal data on behalf of a client in the course of delivering services, that processing is governed by the engagement agreement rather than by these Terms.

Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or with your use of the Website — including non-contractual disputes and claims — are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

The competent courts in India have exclusive jurisdiction over any such dispute or claim.

The Website is operated from India. We make no representation that the Website or its content is appropriate or available for use in any other location. If you access the Website from outside India, you do so on your own initiative and are responsible for compliance with local law.

Other terms

  • Severability — if any provision of these Terms is held invalid or unenforceable, it is to be modified to the minimum extent necessary or, failing that, severed. The remaining provisions continue in force.
  • No waiver — a failure or delay by us in enforcing any provision is not a waiver of it and does not prevent later enforcement.
  • Entire agreement — these Terms, together with the Privacy Policy and the Cookie Policy, form the entire agreement between us in relation to your use of the Website, and replace any earlier terms published on it.
  • Assignment — you may not assign or transfer your rights or obligations under these Terms. We may assign ours in connection with a reorganisation or transfer of our business.
  • No third-party rights — these Terms are between you and SYSTIQO. No other person has a right to enforce them.

Changes to These Terms

We may amend these Terms from time to time — for example to reflect changes in the Website, in our business or in applicable law. The current version is always published on this page, and the effective date shown at the top indicates when it took effect.

Amended Terms take effect when they are published on this page. Continued use of the Website after publication means you accept the amended Terms. If you do not accept them, you should stop using the Website.

Amendments apply to your use of the Website from the effective date onwards. They do not alter rights or obligations that have already accrued, and they do not amend any signed agreement between you and SYSTIQO — such agreements are amended only in the manner they themselves provide.

We recommend that you review this page from time to time.
